1.1 Agreement. These Terms of Use (the “Terms”) form a binding agreement between you and MyRoom LLC, a Colorado limited liability company (“MyRoom,” “we,” “us,” or “our”). They govern your access to and use of MyRoom’s video meetings, messaging, webinars, recordings, related websites, mobile and desktop applications, and any other products we make available (together, the “Services”).

1.2 Acceptance. By creating an account, clicking “I agree,” joining a meeting, or otherwise using the Services, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1.3 Use on behalf of an organization. If you accept these Terms for a company, school, or other entity, you confirm that you have authority to bind it, and “you” includes that entity.

1.4 Order Forms and separate agreements. If you and MyRoom have signed a written master agreement or an order form, that document controls to the extent it conflicts with these Terms.

2.1 Age. You must be at least 16 years old, or the older age of digital consent in your country, to use the Services. Schools and organizations that provide the Services to minors are responsible for obtaining any parental consents the law requires.

2.2 Registration. You agree to provide accurate, current information when you register and to keep it up to date.

2.3 Security. You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at supportteam@myroom.host if you suspect unauthorized access. We are not liable for loss caused by your failure to protect your credentials.

2.4 Account administrators. If your account is managed by an organization, its administrators may control your settings, access your account information and content to the extent permitted by law, and suspend or close your account.

2.5 No sharing. You may not share your account with others or transfer it without our written consent.

3.1 Access. Subject to these Terms, MyRoom grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business purposes.

3.2 Changes. We may add, modify, or discontinue features of the Services from time to time. If we materially reduce the functionality of a paid plan, we will make reasonable efforts to notify you in advance and, where required by law, offer a remedy.

3.3 Availability. We work to keep the Services available but do not guarantee uninterrupted or error-free operation. Maintenance, network conditions, and events outside our control may affect access.

3.4 Emergency services. The Services are not a replacement for a telephone line and may not support calls to emergency numbers unless we expressly say so. Do not rely on the Services for emergencies.

4.1 License. If you download MyRoom software, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use it, in object-code form only, solely to access the Services.

4.2 Restrictions. You may not copy, modify, translate, reverse engineer, decompile, or create derivative works of the software or Services, or attempt to extract source code, except where applicable law expressly permits despite this restriction.

4.3 Updates. The software may update automatically. Some updates may be required to keep using the Services securely.

4.4 Open-source components. Portions of the software may be governed by open-source licenses, which apply to those portions in place of these Terms.

5.1 Your responsibilities. You are responsible for your conduct and for the content you share, display, or transmit through the Services (“Content”), including compliance with all applicable laws.

5.2 Prohibited conduct. You may not use the Services to:

• violate any law or regulation, or the rights of others, including intellectual property, privacy, and publicity rights;

• share content that is unlawful, defamatory, harassing, threatening, hateful, or that sexually exploits or endangers minors;

• transmit malware, spam, or unsolicited bulk communications, or engage in phishing or fraud;

• probe, scan, or test the vulnerability of the Services, or bypass security or access controls, without our written permission;

• interfere with or disrupt the Services, including through automated means that place an unreasonable load on our systems;

• scrape, harvest, or collect information about other users without their consent;

• impersonate any person or misrepresent your affiliation; or

• resell, sublicense, or provide the Services to third parties except as our plans expressly allow.

5.3 Enforcement. We may investigate suspected violations and act we consider appropriate, including removing Content, restricting features, suspending or terminating accounts, and reporting unlawful activity to authorities.

6.1 Ownership. As between you and MyRoom, you retain ownership of your Content. We do not claim ownership of it.

6.2 License to operate the Services. You grant MyRoom a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display your Content only as needed to provide, secure, support, and maintain the Services, and comply with law. This license lasts while your Content is on our systems and for a reasonable period afterward for backup and legal purposes.

6.3 Recording and consent. Hosts may be able to record meetings or generate transcripts. You are responsible for giving any notices and obtaining any consent that recording laws require in the places where participants are located. MyRoom may show a recording indicator, but this does not replace your legal obligations.

6.4 Content controls. We do not monitor meeting content in the ordinary course. We may access or disclose Content where necessary to provide the Services, respond to support requests you initiate, enforce these Terms, protect safety, or comply with valid legal process.

6.5 Retention and deletion. We keep Content for the period described in your plan and our Privacy Policy. After you delete Content or close your account, we will delete it within a reasonable time, except where we must retain it by law or for legitimate security purposes.

6.6 Usage and diagnostic data. We collect and use service data (such as device information, performance data, and feature usage) to operate, secure, and improve the Services, as described in our Privacy Policy. We may use aggregated or de-identified data that does not identify you.

7.1 Optional features. Some Services may include AI-powered features such as summaries, transcription, or translation (“AI Features”). Account administrators and hosts may be able to turn AI Features on or off.

7.2 Training. MyRoom will not use your audio, video, chat, or other meeting Content to train generative AI models without your consent. 

7.3 Accuracy. AI Features can produce inaccurate or incomplete output. You are responsible for reviewing output before relying on it or sharing it.

Our Privacy Policy at https://myroom.host/privacy-policyexplains how we collect, use, and share personal data and describes your rights. It is incorporated into these Terms. If you use the Services to process personal data of others, you are responsible for having a lawful basis for doing so, and, where required, you agree to enter into our data processing terms.

9.1 Paid plans. Some Services require payment. Prices, features, and limits are described at https://myroom.host/pricingor in your order form. Fees are exclusive of taxes unless stated otherwise.

9.2 Billing. You authorize us and our payment processors to charge your payment method for all fees when due. You must keep your billing information current.

9.3 Automatic renewal. Unless you cancel before the renewal date, paid subscriptions renew automatically for successive periods equal to your initial term, at the then-current price. We will notify you of price increases in advance as required by law.

9.4 Cancellation and refunds. You may cancel at any time in your account settings, effective at the end of the current billing period. Except where law requires otherwise, fees are non-refundable and we do not provide credits for partial periods.

9.5 Late payment. If a payment fails, we may suspend paid features until the balance is paid. Overdue amounts may accrue interest at the lesser of 1.5 % per month or the maximum rate allowed by law.

9.6 Free trials and free plans. Free plans may have limited features, and we may change or end them at any time.

The Services may work with or link to third-party apps, integrations, or sites. Those are governed by the third party’s terms and privacy practices. MyRoom does not control and is not responsible for them. If you connect a third-party service, you authorize us to exchange data with it as needed for the integration.

11.1 MyRoom rights. The Services, software, and all related intellectual property, including the MyRoom name, logos, and design, are owned by MyRoom or its licensors. Except for the rights expressly granted here, no rights are transferred to you.

11.2 Trademarks. You may not use MyRoom’s trademarks without our prior written permission.

11.3 Feedback. If you give us suggestions or feedback about the Services, you grant MyRoom a perpetual, worldwide, royalty-free, irrevocable license to use them without restriction or obligation to you.

We respond to notices of alleged copyright infringement that comply with applicable law, including the U.S. Digital Millennium Copyright Act. Send notices to our designated agent part of the support team at supportteam@myroom.host. Your notice should identify the copyrighted work, identify the allegedly infringing material and where it can be found, include your contact details, state your good-faith belief that the use is unauthorized, and state under penalty of perjury that the notice is accurate and that you are authorized to act for the rights owner. We may terminate accounts of repeat infringers.

13.1 By you. You may stop using the Services and close your account at any time.

13.2 By us. We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if required by law, if your use poses a security or legal risk, or if you do not pay fees when due. We may also discontinue the Services generally on reasonable notice.

13.3 Effect. On termination your right to use the Services ends. Sections that by their nature should survive will survive, including sections on Content licenses to the extent needed for deletion and legal compliance, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MYROOM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL NOT BE LOST OR ALTERED. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, MYROOM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 MYROOM’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MYROOM FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

15.3 Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence where the law does not permit exclusion.

You agree to defend, indemnify, and hold harmless MyRoom and its affiliates, officers, and employees from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Content, your use of the Services in violation of these Terms, or your violation of law or third-party rights. We will notify you of a claim and reasonably cooperate at your expense, and you may not settle a claim that imposes obligations on MyRoom without our written consent.

17.1 Governing law. These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules, except that applicable consumer protection laws of your place of residence may still apply.

17.2 Informal resolution. Before filing a claim, you agree to contact us at supportteam@myroom.host and try to resolve the dispute informally for at least 30 days.

17.3 [OPTION A – Courts.] Venue. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Colorado, and each party consents to their jurisdiction.

17.4 [OPTION B – Arbitration for U.S. users.] Binding arbitration.[If you use the Services from the United States, disputes will be resolved by binding individual arbitration administered by JAMS or AAA under its consumer rules, instead of in court, and you and MyRoom waive any right to a jury trial or to participate in a class action. You may opt out within 30 days of first accepting these Terms by written notice to supportteam@myroom.host]. You may not use, export, or re-export the Services in violation of U.S. or other applicable export control and sanctions laws. You represent that you are not located in, or a resident of, a comprehensively sanctioned country or region, and are not on any government restricted-party list.

We may update these Terms from time to time. If a change is material, we will give you reasonable notice, for example by email or an in-product message, before it takes effect. Continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, you must stop using the Services.

20.1 Entire agreement. These Terms, together with the Privacy Policy and any order form, are the entire agreement between you and MyRoom about the Services.

20.2 Severability. If any provision is held unenforceable, it will be enforced to the extent possible and the rest of the Terms will remain in effect.

20.3 No waiver. Our failure to enforce a provision is not a waiver of it.

20.4 Assignment. You may not assign these Terms without our consent. MyRoom may assign them in connection with a merger, acquisition, or sale of assets.

20.5 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

20.6 Notices. We may give notice by email, in-product message, or by posting on our website. Notices to MyRoom must be sent to the address below.

20.7 Third-party beneficiaries. There are none, except that MyRoom’s affiliates may enforce these Terms.
